1. Acceptance of Terms

By accessing or using Percy Chat ("Service," "Platform," "we," "us," or "our"), you ("User," "you," or "your") agree to be bound by these Terms & Conditions ("Terms"). If you do not agree to these Terms, you may not access or use our Service.

These Terms constitute a legally binding agreement between you and Percy Chat. We may modify these Terms at any time, and such modifications will be effective immediately upon posting. Your continued use of the Service constitutes acceptance of any modifications.

2. Service Description

Percy Chat is an AI chat platform that provides access to multiple artificial intelligence models and related services, including but not limited to:

Access to various AI models (proprietary and open-source)
Document upload and analysis capabilities
Web search integration
AI reasoning controls and customization
Chat history and conversation management
AI image generation
Projects, including project instructions, reference files, and project memory

Our Service is provided "as is" and we reserve the right to modify, suspend, or discontinue any aspect of the Service at any time.

3. User Accounts and Registration

3.1 Account Creation

You must provide accurate and complete information when creating an account
You are responsible for maintaining the confidentiality of your account credentials
You must be at least 13 years old to use our Service
One person may not maintain multiple accounts

3.2 Account Security

You are solely responsible for all activities that occur under your account
You must notify us immediately of any unauthorized use of your account
We are not liable for any loss or damage arising from unauthorized account access

4. Subscription Plans and Billing

4.1 Service Tiers

Usage of the Service is measured in credits. Each plan includes a monthly credit allowance, and every request consumes credits in proportion to the computing cost of processing it, as described in Section 4.3.

Free Tier: Access to our free and open-weight models, with a monthly credit allowance and a limit on projects as specified on our pricing page
Pro ($10/month): Access to all models offered on subscription plans, with a larger monthly credit allowance, unlimited projects, and a monthly image generation allowance as specified on our pricing page
Premium ($20/month): Access to all models offered on subscription plans, with our largest monthly credit allowance, unlimited projects, and a higher monthly image generation allowance as specified on our pricing page

Credit allowances are granted per billing period and do not carry over. For paid plans, the billing period follows your subscription cycle; for the Free Tier, it follows the calendar month.

4.2 Payment Terms

Subscription fees are billed monthly in advance
Credit purchases are one-time charges, billed at the time of purchase, and are subject to Section 4.4
All fees are non-refundable except as required by law
Deleting your account cancels your subscription immediately and forfeits the remainder of the current billing period, without refund or proration, as described in Section 13.1
We reserve the right to change pricing with 30 days' notice
Failure to pay may result in service suspension or termination
Payments are processed by our payment provider; we do not store your card details

4.3 Credits and Fair Usage

Usage is measured in credits rather than by a message count, because the computing cost of a request varies substantially between AI models. Some models cost several hundred times more per message than others. A request to an efficient model therefore consumes few credits, while a request to a more capable model consumes more. Reasoning, web search, file processing, and image generation also consume credits.

If you use all the credits available to you within a billing period:

Your account remains active and you may continue to use the Service
For the remainder of the billing period, your access is limited to our more efficient models, and the reasoning and web search features may be unavailable
Your plan's credit allowance resets at the start of your next billing period

We do not charge overage fees, and we will not bill you more than your subscription price without your express consent. We may adjust allowance levels and the rate at which credits are consumed, with reasonable notice.

We may also review, limit, or suspend accounts whose usage indicates automated or programmatic access, resale or redistribution of the Service, sharing of a single account between multiple people, or other activity inconsistent with individual use.

4.4 Purchased Credits

You may purchase additional credits as a one-time purchase, on any plan. Purchased credits:

Do not expire, and carry over between billing periods for as long as your account remains active
Are used only after your plan's monthly credit allowance for that period has been used
Give access to models that are not otherwise offered on subscription plans, as described in Section 4.5
Have no cash value, cannot be transferred between accounts, and cannot be exchanged for money

Purchases of credits are final and non-refundable except as required by law. If a credit purchase is refunded or reversed, we may deduct the corresponding credits from your balance, and where those credits have already been used we may suspend access until the balance is settled.

If your account is terminated, any unused credits are forfeited. We may discontinue the sale of credits at any time; credits you have already purchased remain usable in accordance with these terms.

4.5 Model Availability

The AI models available through the Service change over time as providers release, update, and retire them. We do not guarantee the continued availability of any particular model, and a model available on your plan today may be withdrawn or repriced by its provider.

Certain models are not included in any plan's credit allowance, because their cost per message is disproportionate to subscription pricing. These models are available to accounts holding credits, and are marked as such in the model selector. Using them consumes credits at a correspondingly higher rate.

4.6 Conversation and Response Limits

To keep the Service reliable and its costs predictable, we apply technical limits that vary by plan:

The length of an individual AI response may be capped
In long conversations, earlier messages may be omitted from the context sent to the AI model, which can affect how well the model recalls earlier parts of that conversation

These limits are more generous on paid plans. Your conversation history remains stored and visible to you in full regardless of what is sent to the model.

5. Acceptable Use Policy

5.1 Permitted Uses

You may use Percy Chat for lawful business and personal purposes consistent with these Terms.

5.2 Prohibited Uses

You may not use our Service to:

Generate illegal, harmful, or malicious content
Harass, threaten, or harm others
Violate any applicable laws or regulations
Infringe on intellectual property rights
Distribute spam, malware, or viruses
Attempt to reverse engineer or hack our systems
Use the Service for competitive intelligence against us
Generate content that violates third-party AI provider policies
Upload copyrighted material without permission
Create fake accounts or impersonate others
Use automated systems to access the Service excessively

5.3 Content Moderation

We reserve the right to review, monitor, or remove content that violates these Terms or applicable law.

6. Third-Party AI Providers

6.1 Third-Party Services

Percy Chat integrates with various third-party AI model providers. Your use of these models is subject to:

The respective provider's terms of service and privacy policies
Usage limitations and restrictions imposed by providers
Availability and performance of third-party services

6.2 No Warranties for Third-Party Services

We do not warrant the availability, accuracy, or performance of third-party AI models and are not responsible for their outputs or limitations.

7. User Content and Data

7.1 Your Content

You retain ownership of content you upload or create using our Service. By using our Service, you grant us a worldwide, royalty-free license to use, store, and process your content solely to provide the Service.

7.2 AI-Generated Content

AI-generated responses are not guaranteed to be accurate, complete, or suitable for any purpose
You are responsible for reviewing and validating AI-generated content
We do not claim ownership of AI-generated content, but you use it at your own risk
AI outputs may not be unique and similar outputs may be generated for other users

7.3 Data Processing

Your use of uploaded files and documents is governed by our Privacy Policy. We process this data solely to provide AI analysis services.

8. Intellectual Property

8.1 Our Rights

Percy Chat, including its software, design, and documentation, is protected by intellectual property laws. We retain all rights not expressly granted to you.

8.2 Feedback

Any feedback, suggestions, or ideas you provide may be used by us without obligation or compensation to you.

9. Privacy and Data Protection

Your privacy is important to us. Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

10. Service Availability and Modifications

10.1 Service Availability

We strive to maintain high availability but do not guarantee uninterrupted service
Scheduled maintenance will be communicated in advance when possible
We are not liable for service interruptions or downtime

10.2 Service Modifications

We reserve the right to modify, update, or discontinue features of our Service at any time with reasonable notice.

11. Disclaimers and Limitation of Liability

11.1 Service Disclaimers

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

11.2 AI Content Disclaimers

AI responses may contain errors, biases, or inaccuracies
AI-generated content should not be relied upon for critical decisions
We do not guarantee the accuracy, completeness, or reliability of AI outputs
AI models may produce harmful or inappropriate content despite our safeguards

11.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIMS RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM.

WE SHALL NOT BE LIABLE FOR:

Indirect, incidental, special, or consequential damages
Loss of profits, data, or business opportunities
Damages resulting from third-party AI provider issues
Damages from service interruptions or data loss

12. Indemnification

You agree to indemnify and hold harmless Percy Chat from any claims, damages, or expenses arising from:

Your use of the Service
Your violation of these Terms
Your violation of any third-party rights
Content you upload or generate using our Service

13. Termination

13.1 Termination by You

You may terminate your account at any time from your account settings, by following our account deletion process.

Account deletion is immediate, permanent, and irreversible. There is no grace period and no recovery window. Once deletion is confirmed, we cannot restore your account, your chat history, your uploaded files, your generated images, your projects, or any remaining credits, and we cannot transfer them to another account. If you want a copy of your data, request it as described in our Privacy Policy and wait until you have received it before deleting your account.

Deleting your account also cancels any active subscription immediately. You will not be charged again, but the remainder of your current paid billing period is forfeited and is not refunded or prorated, and any unused credits are forfeited in accordance with Section 4.4. If you want to use the time you have already paid for, cancel your subscription instead and delete your account at the end of the billing period.

13.2 Termination by Us

We may suspend or terminate your account if you:

Violate these Terms
Engage in fraudulent or illegal activities
Fail to pay subscription fees
Use the Service in a manner that harms our operations

13.3 Effect of Termination

Upon termination:

Your access to the Service will cease
Where you delete your account yourself, your account data is deleted immediately, as described in Section 13.1 and in our Privacy Policy
Where we terminate or suspend your account, we may delete your account data after a reasonable period
We retain billing and transaction records as required by law and accounting practices, as described in our Privacy Policy
Accrued fees remain payable
Provisions that should survive termination will remain in effect

14. Dispute Resolution

14.1 Governing Law

These Terms are governed by the laws of South Africa, without regard to conflict of law principles.

14.2 Dispute Resolution Process

Before filing any legal action, you agree to:

Contact us directly to attempt resolution
Engage in good faith negotiations for 30 days
Consider mediation if direct negotiation fails
